TTEP is Created by EPH and TotalEnergies, a Leading Flexible Power Generation Company in Europe

TTEP is pleased to announce its successful establishment by EPH and TotalEnergies, a 50/50 partnership headquartered in Amsterdam. This strategic partnership follows the contribution of EPH’s flexible power generation platform in Western Europe in exchange for shares in TotalEnergies. Having received all necessary regulatory and board approvals, TTEP emerges as the second-largest flexible power generation player in Europe.

The company owns and operates, through its subsidiaries, flexible natural gas and biomass-based power plants, as well as BESS (Battery Energy Storage Systems) assets across Italy, the United Kingdom, Ireland, the Netherlands, and France, for a total capacity of 14 GW installed or under construction. In 2025, its production reached nearly 30 TWh of electricity.

TotalEnergies and EPH have agreed on tolling contracts with TTEP, allowing both partners to market their own share of production. Furthermore, TTEP has a 5 GW project portfolio and will serve as the preferred investment vehicle for both shareholders to develop their flexible power generation activities and large-scale battery storage solutions across the five target countries.

The transaction becomes effective on April 29, 2026. Pursuant to the powers delegated by the Shareholders’ Meeting of May 24, 2024, the TotalEnergies SE Board of Directors has approved the issuance of approximately 95.4 million shares to EPH, representing approximately 4.2% of TotalEnergies’ share capital, making EPH one of the Company’s main shareholders.

Launch of TTEP

With the transaction completed and the partnership established, TTEP is officially launched today as a new company committed to strengthening Europe’s energy security. The name TTEP reflects the combination of TotalEnergies and EPH. Through its flexible power generation assets and utility-scale battery storage solutions, TTEP supports power grids in integrating a growing share of variable renewable energy sources, such as wind and solar.

In addition to power generation, TTEP is active in energy supply in the Netherlands and Italy and operates a gas storage facility in the United Kingdom.
